Investment overview
Acquisition Enterprise Value of approximately $950m, representing approximately 10x FY25 EBITDA
Acquisition completed in May 2026
We target 6-7% Operating Margin improvement in our ownership period, from 15% to 21-22%, to be achieved through key initiatives, including:
Head office efficiencies, with $15m annualised savings achieved shortly after acquisition, including closure of the Charlotte head office
Splitting the group into three standalone businesses; Fasteners, Springs and Precision Components, which has now been done
Optimising the underperforming Addison Fasteners facility which at the time of acquisition was operating at ~$40m revenue and breakeven; a $14m capex project was agreed and approved shortly after our acquisition
Consolidating the manufacturing footprint, including 3 site closures announced shortly after our acquisition
Ensuring price and contract discipline
Shifting end market mix toward higher growth, higher margin markets, including Aerospace; this will be driven both organically and through pursuing appropriate bolt-on acquisitions
Reducing the debt burden on the business
Rosebank intends to double shareholders’ investment in 3-5 years

Markets and end applications
MW Components serves a diversified range of end markets, including aerospace and defence, industrial manufacturing, energy, medical, electronics and semiconductor applications. Its components are used in environments that often require high levels of precision, certification and consistency.
Customers include original equipment manufacturers, distributors and aftermarket participants across multiple sectors. The business’s exposure to a broad set of end applications contributes to demand diversification and reduces reliance on any single industry.
Market position and operational strengths
MW Components holds established positions in specialised segments of the US Fasteners, Springs, Bellows, and other engineered metal component markets. Its products are typically mission-critical to customer applications but represent a small proportion of the overall finished product cost, supporting long term customer relationships and repeat demand.
The business has developed engineering and material science capabilities that support customisation, short production runs and demanding technical specifications. Its national manufacturing footprint enables it to serve customers across multiple regions while maintaining consistent production standards.
